1. Legal Entity & Agreement

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Customer", "Institute", or "You") and Eduxy, founded and legally operated by Nasariya V ("Eduxy", "we", "us", or "our"), governing your access to and use of the Eduxy website located at https://eduxy.in, cloud software application, CRM system, billing tools, and associated services (collectively, the "Platform").

By creating an account, subscribing to a plan, or using any part of Eduxy, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

2. Description of Services

Eduxy provides educational institutions, academies, tutoring centers, and coaching businesses with tools to:

• Capture, qualify, and manage student admission leads.
• Generate and monitor student fee payment schedules and installment plans.
• Send automated communications, fee reminders, and digital receipts.
• Generate operational reports regarding student batches and fee reconciliations.

3. Account Registration & Responsibilities

To access Eduxy, you must register for an administrative account. You represent and warrant that:

• You are at least 18 years of age and authorized to bind your educational institution to these Terms.
• All registration information provided is accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You will immediately notify Eduxy upon discovering any unauthorized use of your account.

4. Subscription, Billing & Payments

Eduxy offers software subscriptions on monthly and annual billing cycles.

• Pricing: Subscription fees are published on our pricing page and are quoted in Indian Rupees (INR) or designated local currencies.
• Payment Processing: Payments are securely processed through authorized third-party payment gateways (including Razorpay). By submitting your payment details, you authorize us and our payment processors to debit your selected payment method.
• Renewals: Subscriptions renew automatically at the end of each billing term unless canceled prior to the renewal date.
• Taxes: Fees are exclusive of applicable taxes (including GST), which will be calculated and added to invoices where mandated by law.

5. Acceptable Use Policy

You agree to use Eduxy strictly for lawful educational management purposes. You shall not:

• Send unsolicited spam, promotional bulk marketing without opt-in consent, or abusive messages via messaging automation integrations.
• Upload unlawful, defamatory, infringing, or malicious content.
• Attempt to reverse-engineer, decompile, or compromise the security and stability of the Platform.
• Resell, sublicense, or rent the platform to third parties outside your authorized branch locations.

6. Intellectual Property & Data Ownership

Your Data: You retain complete ownership of all student records, contact lists, invoices, and institute data uploaded to Eduxy. We do not sell or claim ownership over your student information.

Eduxy Property: All software code, visual design, logos, documentation, and interfaces are the exclusive property of Nasariya V and Eduxy.

7. Cancellation & Refunds

You may cancel your subscription at any time through your account dashboard or by notifying our support team. Refunds and cancellations are governed by our official Refund & Cancellation Policy, which includes a 14-day refund guarantee for initial subscription terms.

8. Warranties & Limitation of Liability

Eduxy provides the platform on an "as is" and "as available" basis. While we strive for 99.9% uptime and reliable performance, we do not warrant that service will be uninterrupted or error-free. To the maximum extent permitted by applicable law, neither Eduxy nor Nasariya V shall be liable for indirect, incidental, or consequential damages resulting from your use of or inability to use the service.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes or claims arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
